1. Acceptance of Terms

By accessing or using Promptly ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Eligibility

You must be at least 13 years old to use Promptly. If you are between 13 and 18 years old, you must review these terms with your parent or legal guardian. By using the Platform, you represent and warrant that you have the right, authority, and capacity to enter into this agreement and to abide by all of the terms and conditions.

3. User Accounts

To access certain features, you must register for an account. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. The information you provide must be accurate, complete, and current.

4. Platform Usage

Promptly is a platform for sharing and discovering AI prompts ("Prompts").

• For Creators: You can upload and share prompts that you have created and own the rights to.
• For Users: You can access and use prompts for your personal or commercial projects.

6. Earnings & Rewards

Creators earn rewards based on user engagement with their prompts. The platform may display advertisements, and creators receive a share of revenue based on usage. Promptly reserves the right to change reward rates at any time with prior notice.

7. Creator Earnings & Withdrawals

• Creators earn a percentage of the sale price (minus platform and processing fees).
• The minimum withdrawal amount is $10.00 USD.
• Withdrawal methods include Cryptocurrency (BTC, ETH, USDT, TRX) and Payeer.
• Withdrawals typically take 3-7 business days to process.
• Withdrawals may be held or denied in cases of suspected fraud or terms violation.

8. Refunds & Disputes

Due to the nature of digital products, all sales are generally final. However, we may offer a refund within 7 days of purchase if:

• The prompt file is corrupted or does not work as described.
• The content violates intellectual property rights.

Refund requests are reviewed on a case-by-case basis. General dissatisfaction with the quality of the output does not warrant a refund.

9. Prohibited Activities

You agree not to engage in any of the following:

• Violating the intellectual property rights of others.
• Uploading malware, viruses, or malicious code.
• Fraud, money laundering, or illegal activities.
• Creating fake accounts or manipulating reviews and ratings.
• Harassing or abusing other users.
• Posting illegal, pornographic, or hate speech content.
• Attempting to bypass the Platform's payment systems.

10. Intellectual Property

The Platform and its original content, features, and functionality (excluding User Content) are and will remain the exclusive property of Promptly and its licensors. The Platform is protected by copyright, trademark, and other laws.

11. Copyright & DMCA

We respect the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please notify us via our support email. We will remove infringing content and terminate the accounts of repeat infringers.

12. Disclaimer of Warranties

The Platform and its content are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not guarantee that prompts will work with all AI model versions or produce specific results.

13. Limitation of Liability

In no event shall Promptly, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Platform.

14. Indemnification

You agree to defend, indemnify, and hold harmless Promptly from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (a) your use of the Platform; (b) your violation of any term of these Terms; (c) your violation of any third-party right.

15. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Platform will cease immediately.

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
